Welcome to AiDealManager. These Terms of Use ("Terms") govern your access to and use of the AiDealManager platform, website at aidealmanager.com, and all related services (collectively, the "Service") provided by AiDealManager ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, accessing, or using AiDealManager, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
AiDealManager is a cloud-based dealer management system (DMS) designed for independent used car dealerships. The Service includes:
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:
You must be at least 18 years old and legally authorized to operate a motor vehicle dealership (or authorized by such an entity) to use the Service.
The Service is offered on a subscription basis. Current pricing is displayed on our website and during the signup process. Founding members receive a locked rate as described at the time of their enrollment.
New accounts include a 30-day free trial with full access to all features. No charges are made during the trial period. You will receive a reminder email before the trial ends.
After the trial period, your selected plan (monthly or annual) begins automatically. Payments are processed securely through Stripe. You authorize us to charge your payment method on file for all applicable fees.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods. During the free trial, you can cancel without any charge.

You retain all ownership rights to the data you upload, enter, or create within the Service ("Your Data"). We do not claim ownership of Your Data.
By using the Service, you grant us a limited license to store, process, and display Your Data solely to provide the Service to you. We will not share, sell, or use Your Data for any purpose other than delivering the Service, except as described in our Privacy Policy.
You may export Your Data at any time using the export tools provided within the Service. Upon account termination, we will retain Your Data for 30 days after which it may be permanently deleted.
We implement industry-standard security measures to protect Your Data, including encryption in transit and at rest, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.
The Service, including its design, code, features, branding, documentation, and all related intellectual property, is owned by AiDealManager and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works based on the Service.
The Service may integrate with or link to third-party services (e.g., Stripe for payments, marketing platforms, lender portals). Your use of those services is governed by their respective terms and policies. We are not responsible for the content, availability, or practices of third-party services.
The Service includes AI-powered features such as VIN decoding, ID scanning, deal analysis, and marketing content generation. While we strive for accuracy, AI-generated outputs may contain errors. You are responsible for reviewing and verifying all AI-generated information before relying on it for business decisions.
If you use our Website Hub to create a dealer website, you are responsible for the accuracy of all content displayed on your site, including vehicle listings, pricing, and business information. Your dealer website must comply with all applicable laws and regulations, including FTC guidelines for used car dealers.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDEALMANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.
You agree to indemnify, defend, and hold harmless AiDealManager and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any rights of a third party.
We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if required by law. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 11, 12, 13, and 16 survive any termination.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.
